So, if I understand correctly

1) this guy invested in YA
2) YA used his money to make money
3) this guy wanted his money back
4) YA said no we're keeping your cash but we'll give you crappy Neom shares and you can make a ton more money by selling to retail shareholders...we've been doing it for years.
5) this guy says ok, we're settled then
6) he converted up to 10% Jan 3 which triggered the filing????
