It seems quite obvious by now to even the most skeptical of the longs that Newton is in this up to his eyeballs.

Look at the appeal from Gendarme.

As a boutique investment firm of accredited investors, Gendarme Capital Corporation invests in private and public offerings of primarily publicly held companies.

If your company is currently offering for sale its securities, whether registered or exempt from registration (under SEC Regulation D, Regulation A, etc.), we will happily discuss any investment opportunity as well as the structure, generation, and fulfillment of your company's debt or equity offering.

Marketing & Awareness.

You may have heard the expression about the lemonade stand in the woods? It has the world's best lemonade, but it goes out of business anyway when no one ever realizes it's there.

Much of the basis of the most effective marketing campaigns can be found in a well-written business plan. The creative takes shape around the strategic tenets - the very foundation of your business' competitive position. Whether targeting your goods and services to new or existing markets, or ensuring that your offering and PR campaign reaches the ears of the investment community, our marketing consultants can shape your creative agenda to target specific audiences, optimize your web-based marketing or PR campaign, and tell your story to customers and investors alike.

Securities Offerings

Securities Offerings Exempt from SEC Registration.

To offer and sell securities of your public or private company, you must either register your offering with the SEC (in a "registration statement") and provide adequate disclosure information to prospective investors or satisfy the requirements of an "exempted offering". As the registration process can be time consuming and very expensive, the SEC established the following "exemptions" from registration requirements to streamline and cost-effecively provide ways for small businesses, both public and private, to raise capital through the sale of securities. You must remember, however, that all securities transactions, even exempt transactions, are subject to the antifraud provisions of the federal securities laws. This means that you and your company will be responsible for false or misleading statements, whether oral or written. The government enforces the federal securities laws through criminal, civil and administrative proceedings. Some enforcement proceedings are brought through private law suits. Also, if all conditions of the exemptions are not met, purchasers may be able to obtain refunds of their purchase price. In addition, offerings that are exempt from provisions of the federal securities laws may still be subject to the notice and filing obligations of various state laws. Make sure you check with the appropriate state securities administrator before proceeding with your offering. Gendarme Capital consultants are intimately familiar with the following offerings, disclosure requirements, and filing protocol. Call 952-927-8137 or email info@gendarmecapital.com for more information.

Can't pretend that Newton was duped anymore. He clearly knew exactly what was going on and must have approved. Case closed.
