IMO, they are simply covering their owns butts with that statement. They are addressing the fact that their PPS went nuts in the last couple months due to speculation. It's common practice to release a statement along those lines as they have never said anything about a merger commencing. This is simply reiteration of that fact, and something they can lean on if anyone accuses anybody at LOCN for any kind of fraud or insider trading due to the spikes in PPS.
