Even if you factor preferred share conversion and the 7 million share earn out for 2010, FDS will be about 44 million

No, the FDS share count would be around 48 million shares including all earn our shares for 2010. Of course we know that we won't have anywhere nearly as much in the weighted share count 10k for 2011. There it will be substiantally lower.
