I don't if this helps with an answer about the spin-off being tax deferred but when I checked my Scottrade account transactions for the dividend shares, I noticed the following description of the transaction:

TAX EXEMPT DIVIDEND/SPINOFF OF XXXXX SHARES OF (GR.C1)

The symbol originally came through as GR.C1 but then changed a few days later to
GRAFF.
