He will reatin IPA......GKG......Green Logs......the 3 buildings....and his salary......PLUS ALL THOSE VSPC SHARES......

VGREF only has about 9 million OS......and Carl will get all of VSPC's shares if it DEFAULTS.....over 5 million.....

PLUS THE KICKER......$12 million in Goodwill......

The deal will probably go down something like this..........

VSPC sells GKG for $18,000,000 .....but in the BIG picture....they will have NO debt.....and will retain DMFCC and IONFINITY.....

But yeah you are right.....if it works....great.....Chang makes money.....if it doesn't Chang has IPA and VGREF.....which is GKG and Logs.....plus operations in place.....it's in the filings....
