Item 4. Purpose of the Transaction.

Item 4 of the Statement is hereby amended by adding the following at the end thereof:

On November 26, 2010, Ms. Singer entered into a Confidentiality Agreement, in the form filed as Exhibit 99.1 to this Schedule 13D (the “November Confidentiality Agreement”), by and among the Issuer and Ms. Singer. The November Confidentiality Agreement provided that, subject to certain exceptions set forth therein, the Trust will not disclose and will keep confidential certain information received by the Trust from the Issuer during the period commencing on the date that the November Confidentiality Agreement was entered into and ending on January 15, 2011. Ms. Singer entered into the November Confidentiality Agreement in connection with the Trust’s ongoing discussions with the Company regarding governance and enhancing shareholder value.
