Going concern means, the company is having financial difficulties to continue operation based on many factors by auditors or internal auditors...

If a company does not state any going concern in it's Audited financials or financials, that means the company is doing fine...you have it twisted..but, since their next year depends on the new class of shares, if you look at the financials, then you will see, why the company needs to issue the divy.
