The only way they could be held responsible debt is if they co-signed for a loan or loans with the corporation. Banks and other lenders will sometimes require co-signers with assets or income and in some cases require pledged assets in the form of stock or real property. This is when they don't see a way for the corporation to repay the debt.

Corporations are responsible for indemnifying employees, officers and shareholders.

The only real reason for maintaining control is ego and that is one the reason venture capitalistic are not investing.
