Power Purchase Agreement between PSNH and Laidlaw Berlin BioPower for the proposed biomass facility at the former pulp mill site in Berlin, NH. This PPA is currently undergoing review by the NH Public Utilities Commission, and has not yet been approved. Upon preliminary review, key provisions include:

· 20 year term
· Payment for electricity at $83 per MWH, subject to a fuel price adjustment clause
o Fuel price adjustment based on actual wood price paid by PSNH at Schiller Station
o Assumes 1.8 green tons of fuel per MWH
· Class 1 RECs at 80% of ACP for years 1-5, 75% for years 6-10, 70% years 11-15, and 50% years 16-20
· Capacity payments at $4.25 per kw month for years 1-5, $0.15 per kw month for years 6-20
· PSNH right of first refusal / purchase option @ 20 years, and escrow-type arrangement for above-market electric payments to be put toward purchase option

Recognizing that the fuel price adjustments and REC ACP values will change the final value, this contract is valued at about $1.43 billion over 20 years, with an average “all-in” (electricity, RECs, capacity) of ~$143 per MWH.
