My Finding of Facts and Conclusion of Law: (i) the
purported unfair discrimination against the Intercompany Claim by the Plan’s classification and
treatment of such claim;(ii)the supposed impropriety of the Canadian Asset Sale; and (iii) the alleged proposal of the Plan by the Debtors in bad faith.
