It's quite simple actually. In AVTI's SEC filing, it lists AVTI as the seller, and Carwild Corp as the buyer. You are very right that Carwild didn't assume any of AVTI's debts, they stayed with AVTI.
The item for sale, again is quite simple, it was a foam business AVTI owned, it wasn't the whole company. In layman's terms, it would be much like you selling your furniture to Carwild Corp, and them not assuming anything on your mortgage.
The 8-k is very clear on what was sold, and who the buyer and seller were.
