We are still awaiting a shareholders meeting from 4 years ago. Mr. Lanza decided then that it was best that he have complete control of the company over the shareholders for the shareholders "best interests". That's how you prevent a hostile takeover of the management.

Of course what he really meant was hostile to him and HIS management and not to the company and the SHAREHOLDERS management.
