The link below explains SEC Form D and Rule 504. Rule 504 is private placement investment of one million dollars and less. The Form D has to be filed with the SEC when the Company gets money in exchange for securities from the agreement. Think of it as a equity line of credit. Usually, the private investor has an agreement with the Company before liquidating the shares on the open market. These shares are not restricted so will increase the O/S of the Company. The private investor could be an investment bank or someone with money but doesn't take on this kind of risk without doing their DD of the Company. This is actually good news. We don't know the terms of the agreement so we don't know if the shares are being sold on the open market today or is it the MMs Naked Shorting this stock to cause panic and steal your shares for the cheap because they know this is a good company and will make bank later on. We just have to wait for the quarterly report which is due out no later than 15 November if the Company wants to remain current. I'm holding the bag like the rest of you but not concerned. Will take advantage of these prices. GLTA
