You got it. About a week ago, after reading through the 10K carefully for the sole purpose of understanding share structure, I came to the conclusion those parts are not written clearly. Here they even refer to the BOD's shares as "common":

But of course they have to be restricted or they would be in the float. That whole section needs to be re-worked like you say.
