"Notwithstanding any other provision in this agreement, if Northern Dynasty and Liberty Star are unable to agree the form of joint venture after 60 days from Closing then the Loan may be called by Northern Dynasty at any time and shall be due 45 days after being called ."

I know this has been discussed previously, just looking for some clarification. The special warranty deed was executed and delivered on August 17th (recorded August 27th). Doesn't this mean the closing date was 8/17? Wouldn't that give us until the 18th for them to form a joint venture and have it final approved? If so is there a specific deadline to make the agreement public?

Also I still don't quite understand the process of becoming a Hunter Dickinson controlled company. Can you explain in greater detail?

Let's say the difinitive JV is announced and we end up as a HD managed company. What exactly is involved here? Is it as simple as a company restructure where HD would manage for a % interest in Liberty Star? Which company holds leverage here? We hold a valuable asset but they have the management we need. These types of agreements along with debt ownerships are completely foreign to me and the research I've attempted has taken me along many frustrating tangents.

From what I understand, a simple earn-in JV only allows HD to earn a % of the pebble asset as long as they own NAK. Once NAK is sold they lose any long term investment from the pebble asset as a mining company(excluding their ability to simply invest in NAK). A deal where they manage us gives them the remaining 40% interest that belongs to us once JV is final. How would this happen without them simply buying us out?
