Yeah it was the same way last time but the insiders didn't own a large enough percentage to get to 51%. They purposely kept the share price low so they may have been buying up huge quantities of shares though. It is obvious that all the insiders are going to vote in favor of the merger. It just depends on the percentage of the common stock that they own.
