No shares in our account is a big indicator and the TA stating that the deal is not going through. These are not concrete evidence, but if we had to pick a side to lean on.......it looks like the purchase agreement was called off. Perhaps do the SEC complications, he was advised by his attorny to hold off on it until they get that matter straightened and then they would hopefully go forward if they can settle the matter.
