Press release does not say it will be a reverse merger (as done with NDOL/NWOL, really bad e.g.!).
Imo, company "Mayskaya" is not listed on any stock exchange. It`s more like a privately owned Russian company. If Aurus swallows "Mayskaya" by issuing $3 million of debt securities, this deal will be sealed this way.
Not by stock-merge.
Of course, as always, Aurus could issue new shares coz capital gain as well...
