Increase in AS could be just prevent hostile takeover and RS is to move this to higher exchange. The revenue coming into the company is huge with this acquisition so they don't want to make the pps appealing to big investors and institutions. This will go up once the agreement is signed and PR'ed. The dip in pps is just short term due to retailers bailing but this will go up again soon.
