Because it is structured that way, people that purchase before the cutoff day kind of have a guarantee that no matter what SDVI price will be when the IPO hit it will still have a value of at least $.0065 on IPO day if the investor trade the share. This is a very huge incentive for people to hold onto the shares that they acquire.
