I have yet to see any documentation showing who bought ASWD or even what date was it purchased?
All that has been done is a name change. The shell American Southwest Music Distribution, Inc. (which changed its name to Petro America) And its still just a shell company!



Excellent point. Even officials from the SEC refer to it exactly that way

"the Delaware shell corporation that changed its name to Petro America"



The only thing I have seen in print about the purchase was information credited to Owen in a Kansas Star news article printed by Mark Davis on February 7, 2009.

Petro America does plan to go public. It is doing a reverse merger and mentioned the phrase on its Web site, www.petroamericacorp.com.

Essentially, the company plans to combine with another company that already is registered with the SEC. The process is less costly and quicker than a traditional public stock offering.

An e-mail that Acklen received last month said the deal was done.

"Apparently, one of the companies that PAC acquired that was already on the stock market is up and trading already. A merger was completed to go public. The company is now trading on Nasdaq," the e-mail said.

Not quite.

Hawkins said Petro America had paid $132,500 in earnest money in the reverse merger. He said the balance would be paid when the deal closed after Petro America received a new stock trading symbol.

Hawkins acknowledged the company was American Southwest Music Distribution Inc. (OOTC:ASWD) in Newport Beach, Calif. Its shares are not on Nasdaq but quoted over the counter through Pink Sheets.
American Southwest's recent filings with the SEC don't mention the agreement with Petro America. Instead, they detail another merger that fell through last summer.

What's real?



That is still American Southwest's most recent filing.

The SEC has nothing on file saying the company was purchased by Petro America Corp. And in their records PTRZ still has the name American Southwest Music Distribution, Inc.

Kind of odd. Wouldn't you expect to be able to find the document on file with the SEC requesting the symbol change? Maybe that kind of document doesn't get filed for the public?

Moving on to the state of Delaware Secretary of State records - they do have documentation showing that American Southwest Music Distribution changed it's name to Petro America Corp on January 16, 2009.

They have a Merger; Non-Survivor document filed for American Southwest Music Distribution on 11/21/2008 and a Renewal for Void filed for American Southwest Music Distribution on 11/19/2008.

I'll get a hold of Gail from the DE SOS on Monday and find out what those two documents are all about. Maybe that will help clarify some things.
