It appears the two largest shareholders of the holding company, AutoCorp Acquisition Partners, hold 94 Million Shares out of the 110. The rest are preferred A&B.
They issued a Def-14C on Feb 7th, hence a noticable drop in price, to raise the AS shares to 400 Million. This was done to get the deals done for the new Co. The market viewed this as unfavorable, but in reality has no immediate adverse effect. At least not to us.
The shares given to these private Co. will be ristricted. The name of the new operation will be Homeland Security Network, Inc.(HSNI)
