Mergers and acquisitions usually done with shares authorized but not limited to that. Executives that hold a majority can use their own shares as a tool to acquire. If management owns a large percentage of the shares they can merge with another company and between them still have control of the shares outstanding. This is done to prevent dilution, however , it may not be their goal to own 51% of the company. Some number less then 51% may be acceptable and still have control but done to attract a company that adds to the value of the base company.
