That is a inaccurate statement.....ALL shareholders must be informed of any move or decision that may effect either the go forward structure of the company, or the long term share price.

If the change effects the bylaws then the shareholder and the BOD must approve. Even if management holds 51% or what ever, they must still present the change.

It's in the SEC disclosure rules....
