This is correct, and this is why there is no way the OS will reach 25 billion this year. I have not looked at the specifics of the reg, whether it is $1M per 12 month period or per calendar year. But assuming it is per 12 months, LCRE has already hit its $1m limit of 504 sales this summer (see post by Tenacious recently), so even if Jim sold another $500K between now and December at current PPS plus discount, it would be less than 10B shares added.
But that won't happen either. There will most likely be revenues before end of year that will sustain the cash flow needs of the company and further 504 sales would be unnecessary. PPS will likely go up as more customers sign on and revenues start flowing. So even if more 504s are needed, they will involve fewer shares sold.
This is my opinion, expectation, and hope, and the reason I stick with LCRE despite the awful PPS and high OS we see at the moment. This opinion is based on Dr. Morris's past performance, recent successes with his project timetable, and current openness with shareholders.
I think he has the cojones to make this company a huge success, and I am willing to bet on it. Those who are not, well, go find your own ways to lose money!
