regardless the way the shares were received, I want to see somewhere that HIS shares are restricted for 1 year.

to me it looks like he can trade them whenever he wants, no restrictions here, it all depends on the specific agreement between hfbg and roy.

there are no rules out there on the market saying you have to hold 1 year you shares if you get paid in stocks.
