Looks like the directors are not happy, any idea why they "resigned"? Are they still compliant with SEC with only one outside director?


On January 11, 2010, Dr. K. Barton Farris, a director of Heartland, Inc. (the “Company”), resigned as director of the Company to pursue other interests.


On April 10, 2010, Trent Sommerville, a director of Heartland, Inc. (the “Company”), resigned as director of the Company to pursue other interests.


Also, any explanation on the reverse split?

As described in the Form 8-K filed with the SEC on December 23, 2009, the common shares were split 1:2 in a reverse stock split that became effective on January 19, 2010. This reverse stock split reduced the number of shares issued and outstanding by approximately 22 million shares. This reverse stock split had no effect on the shares authorized. As of March 25, 2010, there were 21,953,590 shares of Common Stock outstanding.
