You are right. Facts can't be twisted. The fact here is there was dilution.

How many shares were there before the offering? How many after?

If you subtract the before from the after and get a number greater than zero, the simple fact is there was dilution.

I know it sucks when a company you are invested in dilutes and the share price tanks, but that's too bad.

Facts are still facts.
