Asset Sale & Stock Swap Defined



Stock Swap -

Definition: an acquisition in which the acquiring company offers its stock to pay for the acquired company at an agreed upon ratio.

Example: In a stock swap, each shareholder of the newly acquired company receives a certain number of shares of the acquiring company's stock for each share of stock they previously held in the acquired company.

Asset Sale -

An asset sale is exactly what the name implies – it is the sale of all or part of the assets of a business or company (e.g., inventory, equipment, land, etc) and, in some instances, may also involve the assumption of certain liabilities by the buyer (at the buyer’s option).

The combining of two or more companies, generally by offering the stockholders of one company securities in the acquiring company in exchange for the surrender of their stock.

Acquisition -
Also known as a takeover or a buyout or "merger", is the buying of one company (the ‘target’) by another.
