Try again. You're getting restricted shares in a new company whose valuation will be pulled out of thin air by Ed Hayter. This is exactly what he was trying to do when BIHC was suspended.

It would be simple for the new company to buy BIHC assets and then for Hayter to issue those proceeds as a cash distribution to shareholders. But then this shell-game pump-and-dump would be over.

Nobody would merge into a grey-sheet with SEC problems. Hayter already controls the new company - it's the only explanation.
