If IVT Corp goes public, my guess is that we, as TOVC shareholders (and therefore the owners of the wholly owned subsidiary) would be given shares of the new offering. COuld be 1:1, 2:1 or 10:1. So, if you own 100 shares of Torvec and TOVC issues you 200 shares of IVT Corp, you now own 100 shares of TOVC and 200 shares of IVTCorp.
The number of shares issued would be subject to the structure of the financing. They could also issue fractions, I suppose. So you may get 25 shares of IVT Corp for every 100 TOVC you own.
At least this is my understanding of the world of spin-offs.
