I wanted to follow up with you regarding your last email question.



We appreciate all your support and will continue to update you on our progress as often as possible. We have recently been asked to allow access to our Transfer Agent for information related to our company. To confirm this was a legal method of communicating with our shareholders I have contacted a very well respected 30+ year SEC attorney and law professor to address the Transfer Agent issue some shareholders are questioning. He has confirmed that according to the SEC’s Selective Disclosure and Insider Trading Rules as per Regulation FD (Fair Disclosure) adopted August 15, 2000 and effective as of October 23, 2000 the regulation provides that an issuer, or person acting on its behalf (a Transfer Agent), can not disclose material nonpublic information to certain enumerated persons (in general, securities market professionals and holders of the issue securities who may well trade on the basis of the information), it is considered selective information and not allowed.



I understand there may be companies and even small TAs out there that still allow this type of access to information but as an attorney and as the CEO of this company we will update our shareholders through the proper legal information outlets. If anyone does not believe this to be a true statement please review the SEC website, contact the SEC, or ask an SEC attorney directly and you will find this information is not opinion but legal fact.



With that said, we will continue to update our shareholders legally. We will be updating our website and www.Pinksheets.com often, along with issuing public press releases for relevant updates of the company.



The overwhelming response and number or questions from individual shareholders, while valued highly by our company, can in some events take time away from the primary goal of my staff and I, which is maximizing the revenues and profitability of Invicta, and thus maximizing shareholder value.



I appreciate your support and understanding and we will continue to update everyone as often as possible.

I have nothing to hide. I was told that although many companies allow shareholders to call the TA that if a select group of shareholders received that information and traded based on that information they would have an unfair advantage to the rest of the market and that could cause potential legal issues for me and the company. I will discuss this with the TA and the SEC attorney Thursday AM and if they say I have no potential liability for all the games the MMs and shareholders play with our stock then I have no problem ungagging the TA.



As far as the 5 billion plus shares that have been shorted and this ridiculously low stock price and market cap - of course we don't want the stock trading this low or going down. We obviously want the stock to be .01 or higher. We can only benefit from the higher stock price. We have no interest or benefit in this crazy low price and it drives me crazy everyday that the MMs and Shorters play games that hurt all of us and they have been able to keep it trading so low.

Mr.Sorkin,as you know investors are getting pretty upset about the share price going down despite good news from the company.It doesnt take a rocket scientist to see that you are dilluting the stock.Why dont you tell the truth to shareholders.There is only one reason for a gagged TA-Dillution by the company.You dont seem to care one bit about the shareholders of your stock.Prove to me you're different than the other 99% of pink sheet CEO's by telling us the truth and ungag the TA.
