The proposed Final Judgments, which are attached to the Consents, would permanently enjoin the Defendants from violating Section 5 of the Securities Act of 1933 [15 U.S.C. § 77e], bar them for three years from participating in an offering of penny stock under Section 20(g) of the Securities Act [15 U.S.C. § 77t(g)], order them to pay disgorgement, plus prejudgment interest, and order them to pay civil penalties under Section 20(d) of the Securities Act [15 U.S.C. § 77t(d)].
