Innovative Health Sciences, Inc. (PINKSHEETS: IHSN) commented today that the Board of Directors has accepted the offer received on April 29, 2010 from an interested party to purchase the Company. Under the terms of the offer, 100% of Innovative Health Sciences outstanding shares will be sold at a price of $0.40 per share, which is at a premium to the Company's current market price. The proposed sale is subject to close on or before June 15, 2010.

"The Board of Directors would like to reiterate that the proposed sale of the Company represents an attractive opportunity for our shareholders. The Board continues to make progress on completing their due diligence on the potential buyer and is moving forward with the sale," commented Innovative Health Sciences, Inc. President Chris Winter. The proposed sale is contingent upon the satisfactory completion of due diligence by the Board of the Company. There can be no assurances that this sale will be completed.

Management also commented on recent and unusual trading activity in its common stock. "In response to a number of inquiries regarding the trading activity in our stock, according to FINRA (http://regsho.finra.org/FORFshvol20100504.txt), it has come to our attention that roughly 25% of our total volume yesterday was in short sales," said Winter.
