Nabbbss, I believe you are in the ballpark in respect to the PPS. Here’s why…

The way I’m reading it, Phase one is the R/S with Recycling company. The recycling company must be large enough to (at the least) match UWRL in capital assets. It’s somewhat difficult to estimate what that is when the financials are to disclosed in a timely fashion. So what we can surmise from what we don’t know is that the end result of the R/S is the remaining company will be twice the size it was prior to R/S.

As for share price, I believe it is common practice to use a formula to determine the average market capital in order to price UWRL so that the final PPS is determined in order to exchange equal equity. It is most likely the average share price over a 60 period is used. (I believe that is why it spiked to .0085 a few weeks ago, insiders knowing, telling family, friends and buying shares). Now that the PPS settled down, and the 60 day period elapsed, it’s time to solidify the deal.

The deal…The contracts terms are then tweeted and the final $$$ are filled into the blanks to the agreement. This is what to place IMO last Friday after close of the market. Closing takes place and then it’s party time.

Now there maybe more…JMHO, but I think that the “China Company” (CC) resented at these meetings. The CC is a far larger company looking to get into the USA markets and have a business presences all in the stroke of a pen. I also thinking the CC is going to cash buy-out the combined company in order to control the it and it’s share structure.

Then we CC deal may happen sooner then we can imagine. Personally I wouldn’t be surprised if it took place immediately after the signing of the R/S in order to acquire it before the speculators run up the PPS. It only makes common sense therefore the CC reaps the sudden PPS escalation on the news release Monday.

What a deal for the China Company. The shares 2x or 3x or 4x or 5x the closing PPS of Friday and everyone’s a Winner!

Now this is JMO my take on the deal. Who knows, a Schlumpy got-da dream, it’s all we got.

First ½ hour PPS = $.0065
Close = $.0085
