We have determined that our controls and procedures are not adequate to ensure that information required to be disclosed by us in reports that we file or submit under the Exchange Act is recorded, processed, summarized and reported within the time periods specified in SEC rules and forms. Our lack of controls and procedures could cause a failure to timely disclose pertinent financial and other information to our investors causing them to make decisions about our Company using stale or incomplete information.
