Well Overboard, the potential "liability from lawsuits and the SEC" is a given, in that the NY Banking community knows all about these matters. This, in itself, would not stop a Bank from at least "kicking the tires". What they are finding is the explanation from the Twins is just unacceptable regarding these matters and others, thus the potential problems down the road are not worth the risk.

JMHO, but I know for a FACT how the process works.
