Dear XXXX:

Thank you for writing to us. We appreciate your concerns over the sale of
IBM PC business to Lenovo and how that will affect Hartcourt's business as
one of its subsidiaries is a distributor of IBM products.

As reported by the press, the sale of IBM PC business amounts to $1.75
billion and Lenovo will become the world's third-largest PC maker ranked
behind Dell and Hewlett-Packard, with an annual revenue of $12 billion.
Lenovo will market the IBM PC products under the IBM brand name for up to
five years and will have the outright ownership of the "Think" trademark for
the laptops.

The press further reported that the Chairman of Lenovo stated that the
reorganization between the two companies would be a long process and it
would go through three stages: First, Lenovo would set up a corporate
headquarter in New York and the current IBM distributors would continue to
sell the IBM products through the same channel. Lenovo would likewise
maintain the same. Second, 12-18 months after the merge, the two
distribution channels will be reorganized and combined. Third, Lenovo might
use new brand names in the international markets.

We are closely monitoring the specific changes that may take place in the
China market as a result of the sale of IBM PC business. We will timely
update our investors should there be significant changes that might affect
our IBM distribution business.
