MESAQ is better than CEMJQ in several areas.

1. MESA did not need any DIP financing.
2. They have minimal bond debt (26 million)
3. In addition to preserving NOLs they have the additional need to preserve equity in that any change in control would result in the loss of code-share agreements (court document #11)
