First of all we at The Wave board want to thank the readers for all the Great Ideas and following of this alert. We all would also wish you many good fortunes into the new Century and would hope that you will revisit the stocks we have announced as many are coming up on the next quarterly filings. These stocks we have picked are almost all cases based on earnings and they are for long term growth. each will have new quarterly earnings reports and should do well in this quarter.

Some times on the journey to discover information about a company you find more then what you were looking for in other new opportunities. In the search to discover the company behind a news release on oil wells we actually found the News was attached to the wrong symbol. While we were there we decided to read more about this company as the shares structure was very inviting.
This Company is Arvana Inc. (AVNI) which is what appeared to be a dormant shell. While there I decided to read the Sec filings and the 10q to discover what this whole company was about and to verify the unbelievably low share structure of 21 million. I did find the share structure to be accurate and the more I read the more I like about were this company had been and were it might go. Much to my surprise this was a case of history repeating itself.
In reading the filings of previous 10q' and the annual ten-k I discovered that the company had owned a chain of restaurants call the Bread Garden Urban Cafe and that they had sold these a last year to another restaurant franchiser chain.
Upon further reading I also discovered the resignation of one of the directors and the assignment of two new directors. These two new Directors were also CEO and directors in the Bead Garden Franchise inc. From this info I searched out both the Bread garden Urban Cafe and the Spicy Pickle Restaurant chains to unravel this setup.
I discovered that there were two different franchise setups for the company. The first was the original owners of the Bread Garden Urban Cafes Being Zip Dahani who also was a director now in the Arvana Inc AVNI AVNI sold the franchise of the Restaurants to AVNI First and became a Majority stock holder in the AVNI in a cash and stock Transaction. They managed the operations till Early 2008 and then AVNI Sold the stores and North American Franchise rights to The Spicy pickle chain for management.
Being the progressive business man that Zip Dahani is he kept the franchise Rights to Australia and other countries and Maintained the name of Bread Garden Franchises Inc. He then rolled that company private into SPBG Inc which is short for Spicy Pickle and Bread Garden. So this gets us now to two public companies and two private companies.
In further research of the companies I discovered two very nicely designed and well thought out business Ideas. They are both based on The theory of Great food a great prices made from quality ingredients would equal a niche market of people wanting to eat better quality foods.
They are similar in nature but also so different of concepts. Both have great good food fast that is made fresh top order of Sandwiches subs salad's soups with desert and great coffee and drinks. They are fair value priced at convenient locations for the customers lunch and dinner needs.
The reach a niche of the market between fast but with higher quality for the discerning pallet. They also feature catering and parties take outs.

Thru a call to Mr Geman who is the CEO of The Spicy Pickle and and the Bread Garden Urban Cafe's I found more then what I was looking for, in the time I spent on the phone with Mr Geman. I discovered a well run franchise chain that was making all the steps to move this company into growth mode and not just survive the economy but become better in spite of it. They have not only been cutting costs but have aggressively taken steps too showcase there Bread Garden urban Cafe to the world.
They are building six new stores and growing the franchise system on the Bread Garden in the Montreal and eastern Canadian Province. They are strategically locate these new stores in High visibility areas that are also great locations for long term growth of these stores. This is all going to be ready for the opening of the winter Olympics. This will help insure the ROI on these units is faster for the added business in the two weeks of the Olympics plus Introduce these Franchises to the world at the same time.
There will be many influential people from all around the world at the Olympics and this should add to the The network and Inquiries of the chain in many new locations. This will be a great event for there growth strategy. They also have plans of expanding the western provinces of Canada and into Australia in 2010 with a goal of 30 to 40 new stores next year for the chain.
At the same time they are also expanding the spicy Pickle Chain here in the United states and into Montana now. Thru this growth expansion this will also lesson the negative numbers and turn these numbers around all next year. I did ask him about the sales and he did tell me that they are growing from this year and he does see them getting better as the economy does grow. Is projections do lesson the negative draw they are currently experiencing and should be moving forward faster as they have drastically cut cost and intend on keeping costs as low as possible well into the 2010 year.
Threw these two directions of growth of units and also sales per unit he does see the possibility of drastically reducing the loss next year.The Spicy Pickle and the Bread Garden will survive thru this economic storm and be stronger from the storm.

Now is the fun time as I do find reasons to Invest in Both of these stocks SPKL and the AVNI. The details till now show the profits of the SPKL but now we will show the possibilities of the speculative stock AVNI.
1 This stock is a shell and they recently had some directors changes filed in there sec filings. On e director resigned and two stepped in.
2 Both the new directors as you will see below are also involved and own the Bread Garden Franchise Inc. and the SPBG Inc which is a holding company of the Franchise inc.
3 They seem to be rolling this out into the AVNI to be the company that franchises the stores to the world out side north America.
4 They also do have background in mining and restaurants The bread Garden Cafe.
5 they are majority owners in both the AVNI and the SPKL stocks and are only on the board of the two private companies and the AVNI.
6 The AVNI also has some shares of the SPKL from the sale of the SPKL from what we have been able to find.
7 They are currently moving there offices from the location at Pink Sheets and they will have the new office soon. This is good for the speculation that this is ahead of the Olympics debut of there stores and to ready the AVNI to transition from shell status to an open for business corporation.
8 What ever direction they do take this shell thru this change this is an invaluable shell because of the share structure and will become a great speculative venture.

Mr. Dhanani is currently the President & CEO of Bread Garden Franchising Inc., which operates a chain of restaurants in British Columbia and Australia. He has been with the Bread Garden since April 2004. Over the past 11 years Mr. Dhanani has also acted as a self-employed consultant providing financial consulting and advisory services to publicly traded companies listed on Canadian Stock Exchanges, including serving on the advisory board of a publicly traded company that has a gold project in Nevada.

Mr. Nasro is currently the General Manager of Bread Garden Franchising Inc., he has been with Bread Garden since April of 2005. Prior to joining the Bread Garden he was employed in the construction, hospitality and security industries in a variety of management positions

Neither Mr. Dhanani nor Mr. Nasro have been a director or officer of a publicly traded company at any time in the past.

Our Story
Vancouver 1979 - Disco was the rage, the Canucks only had one jersey and parking in Vancouver didn't require a meeting with your bank manager. That was the year the Bread Garden Bakery Café first opened its doors to the people of Vancouver.

Today, cafes and coffee houses are a dime a dozen but the Bread Garden stands out as Vancouver's original Bakery Café, standing the test of time and welcoming generations of devoted "Bread Head's" through their doors. Twenty-nine years after first opening it's doors, this local treasure has grown dramatically - currently consisting of 11 Cafe locations throughout the Lower Mainland, 70 Chevron Town Pantry locations and most recently, kiosks on the busiest BC Ferry routes between Vancouver and Vancouver Island. The Bread Garden is a part of Vancouver's history and a part of Vancouverite's daily routines.

Originally owned by The Spectra Group of Great Restaurants Inc., a Vancouver company with multiple restaurant concepts under its umbrella, the Bread Garden Franchising rights were sold in May of 2004 to Bread Garden Franchising Inc. The 11 Bread Garden Café locations have now been sold as individual franchises and all locations are operated as family run businesses. We are hoping to add to the Bread Garden family with several new site openings in 2008.

Our Concept
The Bread Garden offers patrons a European culinary experience, all centered on innovative meal creations. Breakfast, lunch, afternoon delights or dinner are available for enjoyment on site, delivered to your door or available for pick up. Delicacies include hand-made hot grilled sandwiches, decadent cakes and tarts and a varied selection of globally inspired entrees. Our rich coffee blends, exclusively roasted for the Bread Garden, include Rain City Blend, Garden Blend, Fair Trade Organic Blend, Espresso Blend and Decaf Blend.

The Bread Garden is a lifestyle dining establishment offering customers an always fresh quality meal, superior service and those hard to find lifestyle products not available in traditional eateries, all within a value driven range of prices.
