REASON FOR THE INCREASE IN THE TOTAL NUMBER OF SHARES OF COMMON STOCK WE CAN ISSUE FROM
100,000,000 TO 1,000,000,000.


We believe it is in the best interests of our stockholders to amend our Certificate of Incorporation to change the total number of shares of common stock which the Company shall have the authority to issue from 100,000,000 to 1,000,000,000. This measure will allow us to issue more shares of common stock that we currently can for various purposes including compensating our employees and issuing common stock or other securities convertible into common stock for the purposes of raising money to fund our business plan. We have no current plans to issue any common stock or other securities to raise capital. Currently, due to our weak cash position, we have been compensating employees and consultants with our common stock. Accordingly, the board of directors recommended, and our stockholders approved, the foregoing amendment. The board believes that the approval by stockholders of this action provides the board with appropriate flexibility to act in the best interests of our Company and our stockholders.

The immediate effect would be to increase the number of shares our Company can issue. However, we cannot predict when or how
such shares will be issued. It is possible they may never be issued at all. If we do issue shares of common stock, your interests will be diluted which may result in a lower stock price and you may lose some or all of your investment.
