I’ll give this question a try.

I think this was originally a Merger and without explaining to us (investors in this stock) QED Connect, for reasons I do not know, decided to make it an acquisition and are now making themselves a holding company.

Please read ALL of this;

“QED's Board of Directors has expanded its direction of the corporation to become a holding company and make acquisitions as wholly owned subsidiaries to complement its revenue. Tom Makmann, CEO of QED Connect, stated, "In order to enhance shareholder value during these difficult economic times, the company needed to look for ways to increase revenue and minimize risk. Through acquisitions the Company will be able to diversify into new markets and realize the benefits as the portfolio business grow. QED believes that its future is in acquiring companies with strong potential and helping them achieve their plans."

Now, for the first time, they (QED Connect) mention that they are now a holding company (as far as I can tell) with the PR “QED Connect Inc. Signs Letter of Intent for Merger: Forms Holding Company

Why they are using the wording “Merger and Holding Company” I do not understand.
However, today’s PR “QED Connect, Inc. Finalizes Agreement With Southeastern Retail Services, Inc., d/b/a "ProRemote Solutions" NEVER MENTIONED THE WORD “MERGER”, instead they say this;
“Under the terms of the agreement ProRemote will become a wholly owned subsidiary of QED Connect, Inc.”

In my opinion, the last two PRs are too vague as to what exactly is going on.
They need to be far more clear (transparent if you will) about what’s going on.

The only thing I can deduce from these PRs is that QED Connect (QEDN) has changed they’re minds about Merging or Mergers and have decided to become a holding company. How, with no money other than QEDN stock, I just don’t know.
If QEDN is almost maxed out with they’re OS then I become worried about a possible R/S, unless they start making money through ProRemote Solutions and/or retire shares.

If someone else can make any sense of this, I would be more than happy to know.

I would also like to add; none of the new wording has me so worried to the point of selling.
The one and only thing that would worry me is, if I feel a R/S might be coming.
I have Not seen anything to make me feel this will happen, but I will be very watchful and careful.

Another thing I'm wondering is, if they are now a holding company and this isn't Merger then does that mean ProRemote doesn’t get majority shares of QEDN?
Another Puzzle QEDN should be sharing with us shareholders, IMO






Point well taken Pennytrader.... but don't you think perception may rule here ? If it's an acquisition ,it does not have the impact as if it was a merger. I'm long here and frustrated . Sooo is it a merger or and acquisition. Does anyone know ?
