There is a fiduciary responsibility on the part of the officers. If something is reported and then not disclosed as going in the tank then they can be liable. You can't keep putting out the good and never reporting that the projects have failed.

The officers and they alone opted to take the company to a full reporting status. As investors the shareholders rely on the releases put out by the company as the truth. They are not on the Pinks anymore.
