You are wrong. I have long enough worked in this industry to know how it works. If you start to build up a position in a company, at a certain point you talk to the management, unless of course your approach is unfriendly. During such conversations you not only analyse the figures, however you analyse as well the sharestructure - common - preferred - possible toxic financing, voting rights etc. The outstanding element will have to be put on the table and more. No fund with common sense would take a stake in a company, where they would not be sure, that they are diluted under water.
