Yeah it is for SH protection.....did you notice the S-1 was VERY clear....VGE offering WILL NOT be higher than $3 per share....I think some have been making suggestions that it might go higher... the S-1 makes it very clear.....$3 max at offering....with a .47 instant dilution...per the S-1....IF it is offered at $3....anything lower....even further dilution....the SEC is really looking out for SH's....
