Also keep in mind what Chang and Dr.K did in their deal is similar to what is done in land deals.

It is called a Speculative offer. My brother and I have about 300 acres of farmland.

When we first inherited it Coldwell banks came to us and offered us a speculative bid.

They were going to pay us $40k to make an offer on that land. The offer was for $3 mil for a 10 year period. If we acceppted the $40k they could buy this land for a locked in price of $3 mil at any time during that 10 years even if the land raised in value to 10 mil. That is what they would have bought for the $40K

We did not except it and got nothing. Looking back we should have take the deal because the land never become worth 3 mil. it was worth 1.8 mil at best and they would not have bought it and now 20 year later it is now just hitting $3 mil. So we could have took that $40k and still kept our land.

What Chang and Dr. K have done is similar. We have been using the profits from IPA and Locked him into a deal for VGE. And if and only if we fail to list VGE does he get this big pay out and get to keep everything. Plus a bunch of share in VSPC.

It is simply part of a speculative offer and deal to keep competitors out and that cost money.

I think this deal is bigger than we all realize
