has entered into an agreement to acquire substantially all of the assets of Sage Gaming & Entertainment of Las Vegas,
Nevada for $5.0 million dollars in stock priced at $1.00 per share. Under the purchase agreement Rotate Black will also
replace Sage as the casino operator in two properties currently being contracted for by Sage. Shares of Rotate Black
are to be released upon the successful completion of each of the casino management agreements to Rotate Black.
Current combined revenue for the two operating properties is $20 million.

executed an agreement in conjunction with the Schaller Development Group to build The Traditions Casino,
in North Western Nevada.The Traditions Casino will be located adjacent to the Tahoe Reno Industrial Center (TRIC)
in Dayton, Nevada, home of Wal-Mart's largest US distribution center. Located on 104,000 acres, this industrial center
will be the largest in the world once completed. The center is attracting major corporate enterprises and high tech
industry and already includes APL Logistics, Duraflex, and PetSmart.Construction of the phased development casino
is scheduled to begin the fourth quarter of 2009. The 15,000 square foot first phase completion is anticipated mid 2010.
Once all phases are completed, the Traditions Casino will include1,000 slot machines, 20 gaming tables and a sports
book complete with a sport-bar, steak house and snack bar.
