Entry into a Material Definitive AgreementOn October 23, 2009, China Technology Development Group Corporation (Nasdaq:
CTDC) (“CTDC”) entered into a Subscription Agreement (the “Subscription
Agreement”) with Plumage Consultancy Company Limited (the “Subscriber”) in
connection with a private placement transaction. Pursuant to the Subscription
Agreement, the Subscriber purchased 2,000,000 shares of CTDC’s common stock, par
value US$0.01 per share, at a price of US$3.01 per share.
