The cleanest one I have ever seen was Micro Mammoth Solutions. Ironically, some of the people involved in the filing are currently under investigation by the SEC.

Obviously a man is innocent until proven guilty, but one thing I learned being a stock promoter.. it is the crooks that know the most about the SEC regs and how to use them. It is my opinion that this company was created for the sole purpose of manufacturing a shell to later be used in a R/M. It is far more profitable for a consultant to talk a company into doing a R/M than it is going public direct. That is why very few Companies ever find out about it. Greed on Wall Street trumps all.

It clearly shows how easy and simple a "selling stockholders" filing can be done and the speed in which it can be completed. Keep in mind this is the older format, a Form SB-2, however it is pretty much the same as the Form S-1 now used.

To give some perspective, the company completed the private offering on 6/20/2007.

In less than a month they filed their Registration statement on 7/17/2007

It begin trading shortly after. Quick, simple and cheap. This particular issue probably cost less than $20K total to get public.
